{"id":4669,"date":"2025-02-03T04:09:00","date_gmt":"2025-02-03T04:09:00","guid":{"rendered":"https:\/\/www.club4ca.com\/formats\/?p=4669"},"modified":"2025-02-03T06:47:52","modified_gmt":"2025-02-03T06:47:52","slug":"company-law-compliance-for-a-director-to-know","status":"publish","type":"post","link":"https:\/\/www.club4ca.com\/formats\/law\/company-law-compliance-for-a-director-to-know\/","title":{"rendered":"Latest Company Law Compliance for a Director to Know"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\">Whether a person is a director in one or more company or simply holds a DIN, he is suppose to be aware of the newest <strong>compliances shared<\/strong> below which put the onus of compliance in association with the director or the company on his shoulders in a direct or indirect manner. Therefore, as the director, he needs to keep in mind the compliances stated below to stay safe from any complications later on.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Compliances Every Director Should Know <\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Here is the list of compliances a director has to be aware of:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">1. <strong>DIR- 3KYC<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Directors holding DIN as on March 31<sup>st<\/sup>, 2025 were needed to file the DIR- 3KYC form.<\/li>\n\n\n\n<li>As per MCA, all the DIN holders are required to annually file DIR- 3KYC.<\/li>\n\n\n\n<li>Presently, the DIR- 3KYC forms available on the portal do not cater to DINs.<\/li>\n\n\n\n<li>You will be able to download revised forms shortly from the portal.<\/li>\n\n\n\n<li>This form will be required to fill by all the DIN holders within duration of 30 days of deployment.<\/li>\n\n\n\n<li>All the DIN holders will need to file KYC form.<\/li>\n\n\n\n<li>All the DIN holders who fall under \u201cDeactivated due to non-filing of DIR- 3 KYC\u201d will also need to get their DINs activated.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">2. <strong>ACTIVE e-form INC-22A<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The date to file INC-22A was April 25<sup>th<\/sup>, 2025 earlier but later it was extended to June 15<sup>th<\/sup>, 2025.<\/li>\n\n\n\n<li>All the companies which have been incorporated on or before December 31<sup>st<\/sup>, 2025 will need to fill INC-22A.<\/li>\n\n\n\n<li>For companies who fail to fill ACTIVE or Form 22A before the extended date then that company will be marked ACTIVE non-complaint.<\/li>\n\n\n\n<li>In this situation, company will not be able to bring about any changes such as Changes in authorized capital (Form SH-07); Amalgamation or Merger (INC-28); Changes in paid-up capital (Form PAS-03), Changes in Registered Office (Form INC-22), Changes in Director (Form DIR-12) (cessation would be allowed).<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">3. <strong>MSME Form<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>All those companies which are getting supplies from MSMEs in form of goods or services are suppose to report and file MSME form -1.<\/li>\n\n\n\n<li>This form is required to be filled in case of the payment for procurement has exceeded duration of 45 days counting from the date of receiving the supplies.<\/li>\n\n\n\n<li>This form was made available on the portal from May 1<sup>st<\/sup>, 2025 and the late date to fill this form will be May 31<sup>st<\/sup>, 2025.<\/li>\n\n\n\n<li>In case of failure to fill the form, a fine of up to Rs. 25,000 will be required to pay by the company.<\/li>\n\n\n\n<li>Directors may also have to face an imprisonment of 6 months and fine ranging from Rs. 25,000 to 3,00,000.<\/li>\n\n\n\n<li>To avoid such a situation, companies must clearly state the status of their creditors and also report balances in MSME forms.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">These are the three forms which every director should be aware of in order to avoid attracting any penalties.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Other Related Letter Formats<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\"><a href=\"https:\/\/www.club4ca.com\/formats\/letter-formats\/company-merger-letter-to-employees\/\">Company Merger Letter to Employees&nbsp;<\/a><br><a href=\"https:\/\/www.club4ca.com\/formats\/others\/letter-for-announcement-of-company-name-change\/\">Letter for Announcement of Company Name Change<\/a><br><a href=\"https:\/\/www.club4ca.com\/formats\/accounts\/bank-account-opening-letter-for-company-employees\/\">Bank Account Opening Request Letter for Company Employees<\/a><br><a href=\"https:\/\/www.club4ca.com\/formats\/others\/format-of-partnership-agreement-between-two-partnership-firm-and-company\/\">Partnership Agreement Between Two Partnership Firm and Company<\/a><br><a href=\"https:\/\/www.club4ca.com\/formats\/audit\/format-of-notice-for-appointment-of-auditor-by-the-company\/\">Format of Notice for Appointment of Auditor by the Company<\/a><\/p>\n","protected":false},"excerpt":{"rendered":"<p>Whether a person is a director in one or more company or simply holds a DIN, he is suppose to be aware of the newest compliances shared below which put the onus of compliance in association with the director or the company on his shoulders in a direct or indirect manner.
